This course covers the following topics:

• what short swing trading is;

• whether the possession of material, nonpublic information about your company is relevant for these purposes (it isn't);

• who the concept applies to;

• how the prohibition is enforced with private litigation under Exchange Act Section 16(b); and

• how the SEC still has a hand in enforcing proper filing of Form 4s documenting insider trades.
